CHAPTER I – DEFINITIONS

ARTICLE 1.  Definitions

1.1 Company” means Paradise Golf Development JSC, the owner and manager that exploits and develops the Legend Valley Country Club.

1.2 “LVCC” means Legend Valley Country Club approved by the Ha Nam People’s Committee for the investment and construction of the Company at Kim Bang, Ha Nam, Vietnam.

1.3 “Club” means the Club of LVCC, consisting of an 18 (eighteen) hole golf course with a clubhouse, a driving range and other subsidiary facilities.

1.4 Charter” means this “The Charter of LVCC” and all subsequent charters amended and supplemented from time to time.

1.5 “Honorary Members” are persons who satisfy criteria and conditions according to the Company’s regulations for Honorary membership and are offered priority by the Company to join the Club with Honorary membership cards.

1.6 “Elite or Prestige Members” are persons who satisfy criteria and conditions according to the Company’s regulations for Complimentary membership and are offered to join the Club with Complimentary membership cards.

1.7Individual Members” are persons who have registered voluntarily for the Club’s Individual membership, have received the approval from the Company Leader and have been issued a membership card according to the Regulations of the Company.

1.8Corporate or Business Members” are corporations that have registered voluntarily for the Club’s Corporate membership, have received the approval from the Company Leader and have been issued a membership card according to the Regulations of the Company.

1.9 “Floating Members” are equal to Corporate members with the exception that the nominee’s name is not displayed on the membership card.

1.10 “Junior Members” are persons between the age of 8 (eight) to under 18 (eighteen) years old who have registered voluntarily for the Club’s Junior membership with the confirmation of their legal guardian, have been introduced, have received the approval from the Company Leader and have been issued a membership card according to the Regulations of the Company.

1.11 “Short-term Members” are persons who have registered for a membership for a period of from 01 (one) to 05 (five) years or otherwise stated by the Company, have registered for the Club’s Short-term membership, have received the approval from the Company Leader and have been issued a membership card.

1.12 “Long-term Members” are persons who have registered for a membership for a period of from 06 (six) to 25 (twenty five) years or otherwise stated by the Company, have registered for the Club’s Long-term membership, have received the approval from the Company Leader and have been issued a membership card.

1.13 “Player” is Member, Member’s Guest or other golfer who comes to play golf at the Club.

1.14Member’s Guest” is any person brought to the Club by a Member for the purpose of playing golf who does not have a membership card.

1.15 “Visitor” is anyone who does not have a membership card but is allowed by the Manager to enter the Club to play golf, visit or to participate in conferences or events.

1.16Joining Fee” and “Related Conditions” means fees for joining the Club and proper conditions for being Members of the Club.

1.17Annual dues” is an annual fee collected by the Company for maintaining the facilities making capital improvements and other issues according to the Company’s decision.

1.18 “Active fee” is the annual due which allows Member to play more than 12 (twelve) times per year after payment in full of the set dues.

1.19 “Out of Town fee” is the annual due which allows Member to play 12 (twelve) times or less per year after payment in full of the set dues.

1.20 “Absent fee” is the annual due for a member who chooses not play any rounds during the 12 (twelve) months of relevant annual due period.

1.21 “Membership Card” means the card issued to the Club’s Member to certify that its holder possesses the privileges and obligations of a Member of the Club according to the Regulations of the Company.

1.22 “Transferor” is a member of the Club who wishes to transfer the membership to other person or corporation under the type and terms of the membership privileges, has received the approval from the Company Leader and has paid the related fees in according with the policy and regulations of the Company.

1.23 “Transferee” is a person or corporation who wishes to join the Club by taking on the membership from Transferor, has received the approval from the Company Leader and has paid the related fees with the policy and regulations of the Company.

1.24 “Member’s Privileges” means the member’s privileges and other benefits associated with using the golf course, clubhouse and other facilities as regulated within the Charter.

1.25 “Manager” means the person(s) or corporation(s) appointed or employed by the Company to manage and carry out the daily operations of the Club and is/are under the direct control and management of the Company Leader. Manager has the right to suspend or terminate Member’s privileges and execute other orders in his/her authority according to the Regulations of the Company.

1.26 “Company Leader” means Chairwoman of the Member Board/Directors of the Company and/or authorized manager to control and run the daily operations of the Company.

1.27 “The Course” is the 18 (eighteen) hole golf course of the Club, where golf is played.

1.28 “Tee time” is the reserved start time for a round of golf according to the Regulations of the Club.

1.29 “Group” is a number of players with minimum 02 (two) and maximum 04 (four) who have booked the tee time on the reservation system.

1.30 “Night Golf” is a game of golf that includes play after sunset aided by artificial lights from flood lights aligning the golf course holes and operated according to the Regulations of the Club.

1.31 “Handicap” is a numerical measure of a golfer's potential playing ability based on the score of the best 10 (ten) scores from the most recent 20 (twenty) games.

1.32 “Driving Range” is the area used for golf practice including the buildings, tee deck, putting green and bunker(s) and target greens of the Club.
